These Terms & Conditions (“Terms”) govern your access to and use of Synergy’s website and platform. By using our services you agree to these Terms. If you do not agree, do not use the services.
Synergy is a technology and logistics-coordination provider — not a licensed cannabis retailer, distributor, or delivery service. Synergy does not take title to, sell, or deliver cannabis products. All cannabis sales, delivery, and payment collection are performed by the independently licensed hub responsible for the applicable market.
Synergy DTC, Inc. provides a software platform (the “Platform”) that connects licensed cannabis brands with licensed delivery hubs and coordinates compliant direct-to-consumer fulfillment.
You must be at least 21 years old (or a qualified medical patient where lawful) to purchase through a storefront. Brands and hubs must hold and maintain every license required to operate. By using the services you represent that you meet these requirements and will comply with all applicable laws.
You are responsible for keeping your credentials secure and for activity under your account, and for providing accurate information. Notify us promptly of any unauthorized use.
Legal authority to approve customers and orders, deliver, and collect payment rests with the licensed hub. Business initiative rests with the brand. Synergy is the software and control plane.
Brands pay a subscription plus per-order platform fees as described at sign-up. Consumer payment for cannabis orders is collected on delivery by the licensed hub; Synergy does not process consumer cannabis payments. Except as required by law or expressly stated, fees are non-refundable.
All users must comply with applicable cannabis laws and regulations, including licensing, track-and-trace (such as METRC), age and identity verification, tax, and advertising rules. You will not use the services for any unlawful purpose or to sell to minors.
You agree not to misuse the services — including circumventing age, identity, or compliance controls; interfering with or disrupting the services; scraping or reverse-engineering the Platform; or infringing anyone’s intellectual-property rights.
Synergy owns the Platform, its software, and its marks, and grants you a limited, revocable license to use the services under these Terms. Brands retain ownership of their own brand assets and content.
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the services will be uninterrupted or error-free. Nothing in the services constitutes legal, tax, or compliance advice.
To the maximum extent permitted by law, Synergy will not be liable for any indirect, incidental, special, consequential, or punitive damages, and our total liability arising out of or relating to the services will not exceed the amounts you paid to Synergy in the twelve months preceding the claim.
You agree to indemnify and hold Synergy harmless from claims, damages, and expenses arising out of your use of the services, your content, or your violation of these Terms or applicable law.
We may suspend or terminate access for breach of these Terms or as needed to protect the services or comply with law. You may stop using the services at any time.
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The state and federal courts located in California will have jurisdiction over any dispute not otherwise resolved.
We may update these Terms from time to time. Continued use of the services after changes take effect constitutes acceptance of the updated Terms.
